Terms and Conditions
The general terms that apply to all EuroAfri Link services and products. Last updated: [date].
1. Who we are
These terms and conditions apply to EuroAfri Link (“EAL”, “we”, “us”), a sole proprietorship registered with the Dutch Chamber of Commerce (KvK) under number 71885269, VAT number NL003420253B67, located at Niemeijerstraat 14-2, 6701 CR Wageningen, the Netherlands. Email: info@euroafrilink.com · Phone: +31 (0) 617 130 088.
“Client” means any business, organisation or person that requests, orders or uses our services or products.
2. Scope
These terms apply to all our quotes, agreements, services and products, including consultations, supplier and transaction verification (Trust Platform), the Supplier Partnership Programme, export-readiness assessments, training and events, digital products, sourcing and trade facilitation, consultancy, and education services. The client’s own general terms do not apply, unless we have accepted them in writing.
3. Quotes and agreements
Our quotes are valid for 30 days, unless stated otherwise. An agreement is formed when we confirm an order or application in writing (including by email), or when we start the work at the client’s request. For a trade transaction, a separate written sales agreement is made for each order.
4. Our services
We carry out our work with care and to the best of our knowledge and ability. Our commitment is to make reasonable efforts; we do not guarantee a specific result. In particular, we do not guarantee that a buyer, supplier, order, financing, admission or scholarship will be obtained.
Verification reports, assessments and advice are based on the information and documents available at the time of our work, including information provided by the client and by third parties. They are not a guarantee of a counterparty’s future performance. The client remains responsible for its own business and payment decisions.
We may engage qualified third parties, such as experts, inspection companies, logistics providers or partner institutions, to carry out parts of our services.
5. The client’s obligations
The client provides complete, accurate and timely information and cooperation. If the client does not, we may suspend our work and charge any additional costs. Delays caused by missing information extend the agreed delivery time.
6. Prices and payment
All prices are in euros and exclude VAT, unless stated otherwise. For fixed-fee services, payment is due before we start, unless agreed otherwise in writing. Other invoices must be paid within 14 days of the invoice date.
Payments are made only to EuroAfri Link’s business bank account as shown on our invoice, or through the payment options on our website. We will never ask you to pay into a personal bank account, or change our bank details by email or WhatsApp. If in doubt, contact us directly before paying.
If an invoice is not paid on time, the client owes statutory commercial interest (for businesses) and reasonable collection costs from the due date, and we may suspend our services until payment is received.
7. Trade and sourcing
For trade transactions, the following applies unless agreed otherwise in writing:
- orders are confirmed after advance payment, or against a letter of credit or documents through the banks,
- samples are provided at cost, including shipping,
- we do not supply goods on consignment,
- delivery terms follow the Incoterm stated in the sales agreement (Incoterms 2020),
- product, producer and supplier details are shared with confirmed buyers only, and remain confidential.
Non-circumvention: the client will not contact, or do business directly with, suppliers, producers, buyers or partners introduced by EAL for the products or transactions concerned, without our written consent, for 24 months after the introduction.
8. Cancellation and refunds
Cancellation and refunds are governed by our Refund and Cancellation Policy, which forms part of these terms. For digital content, the client agrees at purchase that delivery starts immediately and that the right of withdrawal lapses once delivery has started.
9. Intellectual property and use of materials
All materials we provide, including Rise to Europe, the Bridge to Market workbooks, the EEE Formula (Elegant Export Elevator), the VERIFY Framework, reports, checklists, templates and training materials, remain the intellectual property of EuroAfri Link. The client receives a non-exclusive licence to use them for its own internal purposes. Copying, sharing, reselling or using them to train others is not allowed without our written consent, unless an institutional licence has been agreed.
10. Confidentiality
Both parties keep confidential all information marked as confidential, or that should reasonably be understood as confidential, and use it only for the agreed purpose. This does not apply where disclosure is required by law.
11. Liability
Our total liability for any claim is limited to the amount invoiced for the service or product concerned, and in any case to a maximum of the amount paid by the client to EAL in the six months before the event causing the damage.
We are not liable for indirect or consequential damage, including lost profit, lost orders, reputational damage or business interruption, nor for the acts, omissions, products or payments of third parties, including suppliers, buyers, logistics providers, financiers and educational institutions.
These limitations do not apply in case of intent or deliberate recklessness on our part, or where the law does not allow them.
12. Force majeure
We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural events, epidemics, war, strikes, government measures, transport disruptions, or failures of suppliers, carriers or IT systems.
13. Complaints
Complaints about our services must be sent in writing to info@euroafrilink.com within 14 days of delivery or of the moment the client discovered, or should reasonably have discovered, the issue. We aim to respond within 10 working days.
14. Personal data
We process personal data in accordance with our Privacy Policy.
15. Consumers
Where the client is a consumer, these terms do not limit any rights that consumers have under mandatory law.
16. Applicable law and disputes
These terms and all agreements with EAL are governed by Dutch law. Disputes are submitted to the competent court of the District Court of Gelderland (Rechtbank Gelderland), unless mandatory law provides otherwise. We will always first try to resolve a dispute together.
17. Changes
We may update these terms from time to time. The version published on our website at the time an agreement is formed applies to that agreement.
